These Terms of Service ("Terms") constitute a legally binding agreement between you and Lane Technologies, Inc. ("Lane", "we", "us", or "our") governing your access to and use of Lane's platform, services, software, and related tools (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
Lane provides a platform designed to facilitate shopping integrations with AI models and protocols, including ChatGPT, Perplexity, Claude, and other AI platforms. The Services include dashboard analytics, product feed management, API configurations, and tools to make e-commerce stores AI-shoppable.
Lane may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. Lane shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
Lane's Intellectual Property. All right, title, and interest in and to the Services, including all software, platform architecture, underlying technology, interfaces, algorithms, models, and all intellectual property rights (including patents, copyrights, trademarks, and trade secrets) embodied in or related to the Services (collectively, "Lane IP") are and shall remain the exclusive property of Lane.
Your use of the Services grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for your internal business purposes in accordance with these Terms. This is a right of access, not an ownership interest in Lane IP.
Your Data. As between you and Lane, you retain all right, title, and interest in and to all data, content, and information you upload, submit, or transmit through the Services ("Customer Data"). You grant Lane a non-exclusive, worldwide, royalty-free license to use Customer Data solely to provide the Services, improve and develop our platform (including training AI models), and create aggregated, anonymized analytics.
Feedback. If you provide Lane with any suggestions, enhancement requests, recommendations, or other feedback relating to the Services, you hereby assign to Lane all rights, title, and interest in such feedback. Lane may use such feedback for any purpose without obligation or compensation to you.

The Services may leverage third-party artificial intelligence platforms and models ("Third-Party Services") to generate product feeds, metadata, analytics, API configurations, and other outputs ("Output"). Lane does not control Third-Party Services and makes no representations or warranties regarding such services or any Output.
You acknowledge and agree that you use Third-Party Services and any Output at your own risk. You are solely responsible for reviewing, verifying, and validating the accuracy, legality, and completeness of all Output before using it in your business operations.
Lane is not responsible for any errors, omissions, or issues arising from Third-Party Services or Output generated thereby.
Lane will use commercially reasonable efforts to prepare your store for integration with AI platforms (including OpenAI's Agentic Commerce Protocol and other protocols). However, Lane does not control the approval processes of third-party AI platforms.
Final acceptance, whitelisting, and visibility on specific AI platforms are determined solely by those platforms and are subject to their eligibility guidelines and approval processes. Lane makes no guarantee regarding acceptance or approval by any third-party platform.
Each party agrees to protect the other party's confidential information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information includes business plans, technical information, source code, product designs, customer lists, and any information designated as confidential.
Neither party shall use the other party's confidential information except as necessary to exercise rights or perform obligations under these Terms. This obligation survives termination of these Terms.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LANE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Lane does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Lane does not warrant or guarantee the accuracy, completeness, or reliability of any Output, analytics, or information provided through the Services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LANE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT LANE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LANE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO LANE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Lane and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data.
These Terms commence when you first access the Services and continue until terminated. Lane may suspend or terminate your access to the Services at any time, with or without cause, with or without notice.
You may terminate these Terms by ceasing all use of the Services and, if applicable, closing your account. Upon termination, your right to access and use the Services immediately ceases.
Sections 3 (Intellectual Property), 7 (Confidentiality), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 12 (General Provisions) shall survive any termination of these Terms.
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Dispute Resolution. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
Entire Agreement. These Terms, together with any Order Forms or Statements of Work, constitute the entire agreement between you and Lane regarding the Services and supersede all prior agreements and understandings.
Modifications. Lane may modify these Terms at any time by posting updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be reformed to the maximum extent possible, and the remaining provisions shall remain in full force and effect.
Waiver. No waiver of any provision of these Terms shall be effective unless in writing and signed by Lane. No waiver on one occasion shall constitute a waiver on any other occasion.
Assignment. You may not assign or transfer these Terms or any rights hereunder without Lane's prior written consent. Lane may freely assign these Terms. Any attempted assignment in violation of this section is void.
Independent Contractors. The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, or employment relationship.
